Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AppShip, Inc. (d/b/a "Infis AI," "we," "us," or "our") governing your access to and use of the Infis AI platform, website at www.infis.ai, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree, you must not access or use the Service.

2. Description of Service

Infis AI provides an AI-powered platform for supply chain risk management, tariff engineering, and procurement automation. The Service includes, but is not limited to:

• AI-driven supplier risk scoring and due diligence
• Real-time monitoring of geopolitical, financial, and regulatory risks
• Tariff classification, monitoring, and landed cost estimation
• Automated purchase order generation and supplier communication
• Predictive analytics and supply chain intelligence dashboards
• Integration with third-party ERP and procurement systems

3. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at security@infis.ai if you become aware of any unauthorized use of your account or any other security breach.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Use the Service to transmit malware, viruses, or any other malicious code.
• Interfere with or disrupt the integrity or performance of the Service.
• Scrape, data mine, or use automated means to access the Service without our prior written consent.
• Resell, sublicense, or provide the Service to third parties without authorization.
• Upload data that you do not have the right to use or that violates any third party's rights.

5. Your Data

5.1 Ownership

You retain all rights, title, and interest in your data uploaded to or processed by the Service ("Your Data"). Infis AI does not claim ownership over Your Data.

5.2 License Grant

You grant Infis AI a limited, non-exclusive, worldwide license to use, process, and store Your Data solely for the purpose of providing and improving the Service in accordance with these Terms and our Privacy Policy.

5.3 Data Processing

Our AI models may process Your Data to generate risk assessments, predictive analytics, and procurement recommendations. Aggregated and anonymized insights derived from Your Data may be used to improve the Service, provided that such data cannot be used to identify you or your organization.

6. Intellectual Property

The Service, including its software, algorithms, AI models, user interface, documentation, and all related intellectual property, is and remains the exclusive property of Infis AI and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

"Infis AI," the Infis AI logo, and other marks are trademarks of AppShip, Inc. You may not use our trademarks without our prior written consent.

7. Subscription and Payment

• Access to the Service requires a paid subscription unless otherwise agreed in writing.
• Subscription fees are billed in advance on a monthly or annual basis, as specified in your order.
• All fees are non-refundable except as expressly stated in your subscription agreement or required by law.
• We reserve the right to change pricing with at least 30 days' prior notice before your next renewal period.
• Failure to pay may result in suspension or termination of your access to the Service.

8. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable for scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

INFIS AI DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RISK ASSESSMENTS, PREDICTIONS, OR RECOMMENDATIONS PROVIDED BY THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

The AI-generated risk scores, tariff analyses, and procurement recommendations provided by the Service are intended as decision-support tools and should not be relied upon as the sole basis for business decisions. Users should exercise independent professional judgment.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFIS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

INFIS AI'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO INFIS AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Infis AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Data.

12. Termination

Either party may terminate these Terms at any time. You may terminate by discontinuing use of the Service and closing your account. We may suspend or terminate your access if you breach these Terms or if required by law.

Upon termination, your right to use the Service ceases immediately. We will make Your Data available for export for a period of 30 days following termination, after which it may be deleted. Sections that by their nature should survive termination will remain in effect.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
